2. Warranties and representations.
2.1 Nano Grain LLC and the website user hereby represent and warrant to the other that as of the date of the agreement and during the period of its validity:
is an entity operating under Russian law, has all rights and all powers necessary to conduct business in the territory of the Russian Federation;
has all the powers to conclude this agreement and fulfill the obligations assumed under the agreement;
has taken all actions necessary to enter into and perform the agreement and to ensure that the agreement is legal, binding on it and enforceable against its counterparty;
to the best of its knowledge, there are no unresolved legal issues, threatened litigation or other circumstances that may have an adverse effect on the party to the agreement or its activities, the party to the agreement has not breached any material provisions of any contract or other agreement entered into by it, there are no rulings, determinations or decisions of a court, arbitration court or other governmental body that may have an adverse effect on the party to the agreement or their activities
there are no provisions in Russian law or other regulations or contracts binding on a party to the agreement or property that may violate or prevent the signing or performance of the agreement;
fulfillment of obligations under the agreement is an unconditional obligation of the party to the agreement, which at least has the same priority as other obligations of the party to the agreement;
all information and documents provided by the party to the agreement to the other party in connection with this agreement are true, correct, complete and accurate in all respects, and the party to the agreement does not conceal any facts that, if known, could have an adverse effect on the decision of the other party to the agreement to enter into this agreement;
has sufficient information about its counterparty to the extent necessary to select it as such, and understands that it has sufficient resources to fulfill its obligations under the agreement;
the obligations of the party to the agreement under this agreement are legal, valid, effective and binding on the party to the agreement, to be performed in accordance with the provisions of the agreement.
2.2 Each party hereby acknowledges that it enters into the Agreement in reliance on representations and warranties made by the other party that are material to it.
3. General Provisions.
3.1 The procedure of processing of personal data of users of the site, including for the purpose of ensuring the security of processing of personal data of users, ensuring the rights and interests of users in the processing of their personal data is governed by this Privacy Policy.
3.2 Any user, using the site or using any of its functionality, thereby expresses its unconditional consent to all the terms of the agreement and all other conditions set out on the pages of the site, undertakes to comply with them, and in case of disagreement with any of the conditions must immediately stop using the site and leave it.
3.3 The User acknowledges and agrees that nothing in the Privacy Policy may be understood as establishing between the User and Nano Grain LLC any other relationship not expressly provided for by this Privacy Policy.

3.6 Recognition by the court of any provision of this Privacy Policy as invalid or unenforceable does not entail invalidity or unenforceability of other provisions of the Privacy Policy.
3.7 Inaction on the part of Nano Grain LLC in case of violation by the user of the provisions of the Privacy Policy does not deprive the right to take appropriate actions to protect its interests later, and also does not mean the waiver of Nano Grain LLC of its rights in case of subsequent commission of similar or similar violations.

3.10. Nano Grain LLC is not responsible for possible loss and/or corruption of data that may occur due to the user's violation of the provisions of this agreement, as well as improper access and/or use of the site.
3.11. The user is solely responsible for all actions (as well as their consequences) within or with the use of the site in violation of the terms of the agreement. In this case, all actions within the framework or with the use of the site and user's data are considered to be made by the user himself, unless the user has notified NanoGrain LLC about unauthorized transfer of user's data.
3.12. To gain access to certain features of the site, the user undertakes to provide true and complete information when filling out feedback forms, and necessary for the fulfillment of obligations on the part of NanoGrain Ltd. with regard to providing mailings, consulting, etc.
3.13. Nano Grain LLC has the right to prohibit access to certain features of the site, and remove any content, links and information without explanation, including in the case of violation by the user of the terms of the agreement and/or legislation of the Russian Federation. The fact of violation by the user of the terms of the agreement and/or legislation of the Russian Federation is established by NanoGrain LLC unilaterally, independently. The User agrees with such procedure and undertakes to comply with the decision of Nano Grain LLC.
3.14. The User is solely responsible to third parties for their actions related to the use of the site, including if such actions will lead to violation of the rights and legitimate interests of third parties, as well as for compliance with the laws of the Russian Federation when using the site.
3.15. The User may change their personal data or part thereof at any time by sending a written notice to accounting@nanograin.ru of the necessary change of the data previously provided for processing.
3.16. The User may delete his/her personal data by exercising the right to withdraw consent to the processing of personal data, which may be sent to accounting@nanograin.ru in the form of a written notice.
3.17. The rights provided by provisions. 3.15. and 3.16. of this Policy may be restricted as required by applicable law. In particular, such restrictions may stipulate the obligation of Nano Grain LLC to retain the information changed or deleted by the user for the period established by the applicable law and to transfer such information in accordance with the legally established procedure to a public authority, court.
4. Personal data and the procedure for their processing.
4.1 In accordance with the Federal Law of 27.07.2006 №152-FZ “On Personal Data”, the User, in the case of a natural person, hereby consents to the processing of personal data of the User by LLC “Nano Grain” (including receipt from the User and/or any third parties, taking into account the requirements defined by this law) and confirms that, giving such consent, acts with its own will and in its own interest. The consent is given by the User from the moment of sending information by filling out the feedback form on the site and (or) performing other actions related to the use of the site features.
4.2 The consent is given by the user for the purposes of entering into this agreement with Nano Grain LLC, other agreements and their further execution, sending reference and marketing information; providing the user with an opportunity for feedback from Nano Grain LLC; for other purposes that do not contradict the current legislation of the Russian Federation and the terms of agreements between Nano Grain LLC and the relevant site visitors.
4.3 This consent is given by the user until the expiration of the storage period of the relevant information or documents containing the above information, determined in accordance with the legislation of the Russian Federation, after which it may be withdrawn by the user by sending the appropriate written notice.
4.4 In case of withdrawal of the user's consent to processing of personal data, Nano Grain LLC has the right not to stop processing of personal data and not to destroy them, if the storage periods of documents stipulated by the legislation of the Russian Federation have not expired at the time of withdrawal. In this case, the corresponding actions in continuing the processing of the user's personal data shall be considered as acceptance.
4.5 This consent is granted for any actions in relation to personal data that are necessary or desirable to achieve the above purposes, including, without limitation: collection, systematization, accumulation, storage, clarification (update, change), use, distribution (including transfer), depersonalization, blocking, destruction, trans-border transfer of personal data, as well as any other actions with personal data of the user, taking into account the current legislation of the Russian Federation.
4.6 Processing of personal data is carried out by Nano Grain LLC using the following main methods (but not limited to them): storage, recording on electronic media and their storage, compilation of lists.
4.7 Nano Grain LLC takes all necessary and sufficient organizational and technical measures to protect user's personal data from illegal or accidental access, destruction, modification, blocking, copying, distribution, as well as from other illegal actions of third parties. Nano Grain LLC ensures the security of personal data during their processing. The user's personal data shall also be kept confidential, except as provided for by applicable law.
4.8 The website may use cookies and/or other similar technologies. Cookies may be used to provide personalized services, for statistical and research purposes, for marketing purposes to study user preferences, as well as to improve services. The user, in the software used to interact with the website of Nano Grain Ltd. can disable or delete cookies, if such a possibility is provided.
5. Final Provisions.
5.1 All disputes, disagreements or claims of the Parties arising from this Privacy Policy or in connection with it, including those concerning its fulfillment, violation, termination or invalidity, shall be settled by negotiations between the Parties. In case of impossibility to settle disputes in the pre-trial order, they shall be considered in court at the location of Nano Grain LLC, unless otherwise expressly provided for by the current legislation of Russia. Pre-trial procedure of dispute resolution is considered by users as a mandatory claim and its non-compliance prevents direct appeal of any of the site users to the appropriate court, the term of response to the claim - 10 (ten) working days from the date of receipt.
5.2 The parties to this Privacy Policy recognize as written evidence electronic correspondence among themselves, correspondence via sms-messages and/or using the services and features of the site.
5.3 Any appeals of the User to Nano Grain LLC, directly or indirectly related to the processing of his/her personal data, shall be submitted in writing and sent to the address accounting@nanograin.ru specified in this Agreement.
5.5 The Parties acknowledge that the documents and information under this Agreement transmitted using the services of Nano Grain LLC website or sent via e-mail to accounting@nanograin.ru shall have the same legal force as the documents on paper signed by the Parties.
5.6 The parties recognize that the information transmitted using the services of Nano Grain LLC website is considered delivered to the other party from the moment of its sending.
5.7 All suggestions or questions regarding this Privacy Policy should be communicated to accounting@nanograin.ru.
